Share pledging case: SAT quashes NSE, CDSL orders against Kotak Mahindra Bank
The Securities Appellate Tribunal (SAT) has quashed orders passed by stock exchange NSE and depository CDSL against Kotak Mahindra Bank in share pledging case pertaining to Arcadia Share and Stock Brokers. Quashing the directions, the appellate tribunal said that National Stock Exchange (NSE) and Central Depository Services (India) Ltd or CDSL had no powers to issue directions to a non-trading member. Thereafter, CDSL imposed a debit freeze, prohibiting the lender from invoking the pledged shares and recovering its dues. Adani group launched Rs 31,000-crore open offer on Friday to acquire 26 per cent additional stakes from the public shareholders of ACC and Ambuja Cements, closely following its acquisition of Swiss firm Holcim’s stakes in the two cement firms. Adani group has offered to buy 26 per cent of Ambuja Cements stake for Rs 385 per share and the same stake for Rs 2,300 per share of ACC. Sebi stand upheld, but SC refuses to halt voting on RCF resolution
In a relief to the Reliance Commercial Finance’s (RCF) shareholders, the Supreme Court on Tuesday allowed its voting process to go through, saying any “unscrambling” of the resolution process will not only prove time-consuming, but may also “adversely affect” the debenture holders (DHs) who have agreed to a negotiated settlement.
